By accessing or using the website located at keyestetics.ca or engaging KEYESTETICS for any commercial purpose — including but not limited to requesting a quotation, placing an order, or entering into a private-label or wholesale arrangement — you agree to be bound by these Terms & Conditions and our Privacy Policy.

02 About KEYESTETICS
KEYESTETICS is a registered business operating in the Province of Ontario, Canada, specializing in cosmetic import, export, wholesale supply, private-label solutions, and the manufacture and sale of the KEYESTETICS natural deodorant line.
References to "we," "us," "our," or "KEYESTETICS" in these Terms refer to the business. References to "you," "your," "customer," or "client" refer to any individual or entity accessing the website or engaging our services.
03 Use of the website
You agree to use this website only for lawful purposes and in a manner that does not infringe on the rights of others or restrict their use of the website. Specifically, you agree not to:

Quotations issued by KEYESTETICS are valid for the period stated on the quotation (typically 30 days) and are subject to product availability, manufacturer confirmation, currency fluctuations, and changes in shipping or regulatory costs.
06 Orders, MOQs & pricing
Order confirmation
An order is binding only once KEYESTETICS issues a written confirmation (by email or signed agreement) and receives any required deposit. Until that point, orders may be modified or declined at our discretion.
Minimum order quantities
Our products and private-label services are subject to minimum order quantities (MOQs), which vary by product, format, and manufacturer. MOQs will be communicated in writing as part of each quotation.
Pricing & payment
All prices are quoted in Canadian dollars (CAD) unless otherwise stated, and are exclusive of applicable taxes, duties, customs charges, and shipping unless explicitly included. Payment terms will be set out in the quotation or contract. Late payments may incur interest at a rate of 1.5% per month (18% per annum) or the maximum permitted by law, whichever is lower.
07 Shipping, customs & delivery
Delivery times provided are estimates and not guaranteed. Lead times for sourced and private-label products are typically 4 to 12 weeks depending on the product, manufacturer, and shipping method, and may be affected by manufacturing schedules, customs processing, freight delays, or other circumstances outside our reasonable control.
Unless otherwise agreed in writing, shipping terms follow standard Incoterms as specified in the order confirmation. The customer is responsible for any import duties, taxes, customs fees, or regulatory charges applicable in the destination country, unless explicitly included in the quotation.
Risk of loss transfers to the customer in accordance with the agreed Incoterm.
08 Product information
We make reasonable efforts to ensure product descriptions, ingredients, and images on the website are accurate. However, product formulations, packaging, and specifications may change without notice, and minor variations between depicted and delivered products may occur.
The KEYESTETICS natural deodorant and any cosmetic product we supply is intended for external use only, as described on its packaging. Results may vary from person to person. The product is not intended to diagnose, treat, cure, or prevent any medical condition. If you have sensitive skin, allergies, or a known medical condition, please consult a healthcare professional before use.
09 Returns & refunds
Because our products are cosmetic items intended for personal use and our wholesale orders are produced or sourced to specific customer requirements, returns and refunds are handled on a case-by-case basis. Generally:
- Damaged or defective goods: must be reported in writing within 7 days of receipt, with photos and order details, for review and possible replacement or refund.
- Wholesale and private-label orders: generally non-refundable once production begins, except in cases of confirmed manufacturer defect.
- Customized or private-label products: non-returnable once approved by the customer at proof or pre-production stage.

10 Warranties & disclaimers
The website and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
Products supplied are warranted to conform to their stated specifications at the time of shipment. No other warranties, express or implied, apply unless explicitly agreed in writing.
11 Limitation of liability
Our total aggregate liability to you for any claim arising from these Terms or the supply of products shall not exceed the total amount paid by you to KEYESTETICS for the specific products or services giving rise to the claim in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable Canadian law.
12 Indemnification
You agree to indemnify, defend, and hold harmless KEYESTETICS and its owners, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the website or our products, or your violation of any applicable law or third-party right.
13 Privacy

15 Governing law
These Terms & Conditions, and any dispute arising out of or in connection with them or your use of the website or our services, shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
16 Dispute resolution
Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through the following process:
- Good-faith negotiation: the parties will first attempt to resolve the dispute through direct, good-faith discussion for a period of at least thirty (30) days.
- Mediation: if unresolved, the parties may agree to non-binding mediation conducted in Ontario, Canada.
- Courts: failing resolution, the parties submit to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.
17 Termination
We reserve the right to suspend or terminate your access to the website at any time, with or without notice, if we believe in good faith that you have violated these Terms or engaged in conduct that is harmful to us, our customers, or third parties.
Termination of website access does not affect any obligations under active commercial agreements, which will continue in accordance with their own terms.
